Monitor and the Department of Health have jointly published the Transactions Manual, which provides essential information for providers and commissioners on the management and governance of major corporate transactions, including mergers, acquisitions, joint ventures and franchising. The manual provides: best practice in relation to the completion of specific types of transactions; roles and responsibilities of respective stakeholders in transactions; and the legal requirements which should be considered in completing any transaction. This manual does not introduce new requirements for NHS foundation trusts for completing transactions. Where an NHS foundation trust is involved in a transaction it should follow the mandatory guidance and best practice advice set out in Monitor’s Compliance Framework, Risk Evaluation for Investment Decisions by NHS Foundation Trusts (REID) and Applying for a Merger involving an NHS Foundation Trust: Guide for Applicants as appropriate. The manual will provide the Board of an NHS foundation trust with an overview of the processes potential counter parties in a transaction will need to undertake.
